1. Introduction

Welcome to GigRig ("Platform"), operated by NSD Events Paris ("Company", "we", "us", or "our"). By accessing or using our platform at nsdeventsparis.com and all associated services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our Platform.

2. Definitions

• "Platform" refers to the GigRig website, mobile applications, and all related services.
• "User" refers to any individual who accesses or uses the Platform, including ticket buyers, event organizers, artists, and promoters.
• "Event Organizer" refers to any individual or entity that creates, manages, or promotes events on the Platform.
• "Artist" refers to any performer, musician, or entertainer registered on the Platform.
• "Ticket" refers to a digital or physical pass purchased through the Platform to attend an event.

3. Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform in any way that violates applicable laws or regulations.
• Engage in any activity that could damage, disable, or impair the Platform.
• Attempt to gain unauthorized access to any part of the Platform.
• Use automated systems or bots to access the Platform without our prior written consent.
• Resell or scalp tickets purchased through the Platform unless explicitly permitted by the Event Organizer.
• Post false, misleading, or fraudulent event listings.

5. Ticket Purchases & Payments

All ticket purchases are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's Terms of Service.

• Prices are displayed in the currency specified by the Event Organizer and include all applicable fees unless stated otherwise.
• You will receive a digital ticket via email upon successful payment.
• GigRig acts as a platform connecting Event Organizers with ticket buyers. The Event Organizer is ultimately responsible for the event.

6. No Refund Policy

In the exceptional case that an event is cancelled by the Event Organizer, the Event Organizer is solely responsible for handling any refunds or compensations at their discretion. GigRig and NSD Events Paris shall not be held liable for refunds in the case of event cancellations.

7. Event Organizer Responsibilities

Event Organizers using the Platform agree to:

• Provide accurate and complete information about their events.
• Comply with all applicable local laws and regulations regarding the event, including permits, safety, and capacity requirements.
• Honour all tickets sold through the Platform.
• Communicate any changes, cancellations, or postponements to ticket holders in a timely manner.
• Maintain adequate insurance for their events where required by law.

8. Artist Terms

Artists registered on the Platform agree to:

• Provide accurate biographical and contact information.
• Fulfil performance commitments made through the Platform.
• Allow GigRig to display their profile information, including name, bio, images, and media, on the Platform for promotional purposes.
• Respond to booking inquiries in a reasonable timeframe.

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the property of NSD Events Paris or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

Users retain ownership of content they submit to the Platform but grant NSD Events Paris a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content in connection with the Platform's services.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• GigRig and NSD Events Paris shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• We do not guarantee the accuracy, completeness, or reliability of any event listings or user content on the Platform.
• Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not responsible for the actions, omissions, or conduct of any Event Organizer, Artist, or third party.

11. Indemnification

You agree to indemnify, defend, and hold harmless NSD Events Paris, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.
